Partnership

This certificate is required to establish a business partnership.

	
		

Overview

Two or more people may join together in a general partnership to carry on a trade or business for profit. Each general partner is personally liable for the obligations of the business, including debts. Each general partner includes their share of the business income on their personal tax return. The partnership agreement stipulates a designated period of time for the life span of the business or until a dissolution event occurs.

Application Information:

A partnership must complete, notarize, and file an “assumed name certificate” also known as a DBA with the county clerk in each county in which business is conducted or transacted. Many counties have sample forms or you may purchase a form from a legal stationery store in New York. You may wish to have an attorney assist you in the preparation of this or any other legal document.

Fees:

The basic filing fee is $25 in all counties except for the five counties of New York City where the fee is $100. The fee for a certified copy is $4.00/per copy or $10.00/per copy in New York City.
Processing Information:

The county clerk keeps the original form on file.

Additional Requirements/ Information:

Provide certified copies to banks where the business has bank accounts as well as for display at the business premises. NOTE: Some business licenses may require a certified copy.

Certificates of Conversion

A domestic partnership or limited partnership may be converted into a limited liability company by filing a Certificate of Conversion pursuant to Section 1006 of the New York State Limited Liability Company Law.
Mail the completed Certificate of Conversion (see link below), together with the statutory fee of $200, to the New York Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231.
